Organizer Agreement

This is a legally binding agreement. Please review all terms carefully.

Introduction

This is a legally binding agreement ("Agreement") between It's Buzzing, LLC ("Platform," "We," "Us") and you ("Organizer").

You must accept this Agreement before creating your first event on It's Buzzing Tickets. By proceeding, you acknowledge you have read, understood, and agree to be bound by all terms herein.

"Organizer" means any business entity, sole proprietor, or individual creating, hosting, or managing events on the It's Buzzing Tickets platform.

Role of the Organizer

You are the Merchant of Record for all tickets sold through your events. This means you are the primary party responsible for the transaction, regardless of the payment processor or platform involved.

As the Organizer, you bear full responsibility for:

  • Event Execution: Hosting, delivering, and fulfilling the event as advertised
  • Refund Obligations: Issuing refunds to buyers when events are cancelled, postponed without a new date, or material changes occur
  • Chargebacks & Disputes: Handling customer disputes, chargeback claims, and payment reversals
  • Legal, Safety & Compliance: Obtaining all necessary permits, licenses, insurance, and compliance with local/state/federal laws
  • Customer Service: Responding to customer inquiries and resolving disputes in good faith

Financial Terms

It's Buzzing Platform Fees (Non-Refundable):

  • 5% of ticket price
  • $0.75 per ticket (flat fee)

Stripe Payment Processor Fees:

  • 2.9% + $0.30 per successful transaction
  • Important: On refunds, Stripe returns 2.9% but does NOT return the $0.30 fixed fee
  • You are responsible for all non-refundable Stripe fees

Fee Structure Options:

Default (Buyer-Funded): Buyers pay all platform and payment processing fees.

Absorb Fees: You may choose to absorb all fees, which reduces your net payout per ticket but may increase conversion rates.

Payout & Reserve Schedule

Standard Organizer (Established Track Record):

  • 30% released 5 hours before event start
  • 20% released 1 day after event concludes
  • 50% released 7 days after event concludes

New Organizer (First Event):

  • 50% held in reserve until 7 days after event concludes
  • 50% released after event day in installments based on performance

High-Risk Events:

  • 0% payout until event concludes (as determined by risk assessment)
  • Funds released 7+ days post-event only if no disputes, refunds, or chargebacks

Reserve Requirement: Minimum 30% of all ticket revenue is held in reserve until 7 days post-event in all cases. Organizer funds are held in a restricted fiduciary capacity, separate from It's Buzzing's operating funds.

Event Cancellations

If you cancel your event, you are 100% responsible for all refunds to your buyers.

Our Process:

  • You notify us of the cancellation
  • It's Buzzing automatically initiates refunds to all ticket buyers
  • You authorize us to recover refund amounts using: your event reserves, frozen payouts, sales from other events, ACH debit from your bank account, future platform revenue, and collections if needed

Platform fees (5% + $0.75 per ticket) remain earned and are NOT refunded — these fees cover transaction processing, payment handling, and customer support.

$2.00 per-ticket cancellation processing fee applies for administrative costs of issuing refunds.

Postponements & Material Changes

Postponements without a new date: If you postpone your event and do not announce a new date within 30 days, the platform may automatically refund all ticket buyers at your expense.

Excessive postponement delays: If the new event date is more than 90 days from the original date, the platform reserves the right to offer buyers automatic refunds (which you must cover).

Material Changes include:

  • Headliner/headline performer changes
  • Venue relocation more than 20 miles away
  • Event date change
  • Other significant modifications that materially alter the buyer's experience

Platform Discretion: The platform may treat any Material Change as a cancellation at its sole discretion, triggering automatic refunds and placing refund responsibility on you.

Chargebacks

You are financially liable for all chargebacks for 120 days following your event.

Chargeback Liability:

  • You pay Stripe's $15 dispute processing fee for each chargeback
  • The full chargeback amount is deducted from your account balance or future payouts
  • Chargebacks reduce your platform standing and may affect future payout schedules

Double-Recovery Protection: If a buyer attempts to recover funds through both a chargeback AND a platform refund, you remain fully liable for both amounts. You are responsible for resolving these disputes with your payment processor and the buyer.

Fraud & Misconduct

The following actions will result in immediate account suspension and possible legal action:

  • Disappearing during reconciliation or becoming unresponsive to refund requests
  • Refusing to return payouts when required for refunds, chargebacks, or disputes
  • Misrepresenting an event (e.g., false headliners, inaccurate venue, misleading pricing)
  • Selling tickets to a nonexistent event or event that never takes place
  • Attempting to bypass refund obligations or circumvent platform terms

Detected fraud will result in account termination, fund forfeiture, and potential criminal referral to law enforcement.

Termination & Debt Recovery

In the event of breach or material violation, It's Buzzing may:

  • Freeze all upcoming events
  • Withhold all pending payouts
  • Escalate the matter to third-party collections
  • Report your account to Stripe's risk and compliance department
  • Pursue legal remedies including litigation

You agree to reimburse all collection costs, legal fees, and enforcement expenses incurred by It's Buzzing to recover amounts owed.

By proceeding, you acknowledge you have read this entire agreement and understand your responsibilities as an Organizer.
